On December 7, 2017, three months after its establishment, the company that won the concession contract for the construction of the Tirana incinerator, Integrated Energy BV SPV (IEBV SPV) signed a subcontracting agreement with one of its founding companies, Integrated Technology Services, (ITS) with a value of ALL 1.5 billion and a term of 12 months.
The contract, a copy of which was seized years later by SPAK, was concluded between the former administrator of IEBV, Giusseppe Ciaffaglione, and the administrator of ITS, Klodian Zoto, and was intended for the latter to carry out civil works for the closure of the landfill of Sawmill, the revitalization of the area and the design and construction of the waste processing plant and the necessary infrastructure.
However, according to former IEBV administrator Giusseppe Ciaffaglione, the subcontractor never fulfilled the contract; even, in response to a letter of order, he told prosecutors in 2023 that the signature on the deal was not his.
"He declares that he did not sign this contract, which he was looking at for the first time", the Special Prosecutor's Office quotes.
"Also, he declares that he has no knowledge that the company of the citizen Klodian Zoto, "Integrated Technology Services" sh.pk, has ever supplied or brought materials for works to the Tirana Incinerator site", adds the prosecution body.
Five years after the signing of the concession contract for the construction of the Tirana incinerator, the Special Court Against Organized Crime and Corruption (GJKKO) issued on Friday two security measures "prison arrest" against businessmen Klodian Zoto and Mirel Mërtiri, who are accused of Special Prosecutor's Office for criminal offences: fraud with serious consequences and laundering of the proceeds of a criminal offence, committed in collaboration
According to the data included in the decision of the Special Court on the security measure issued against the two defendants by judge Irena Gjoka, Mërtiri and Zoto are at the center of a financial fraud scheme, carried out in cooperation with high public officials from the Ministry of The Environment and the Municipality of Tirana and the Agency for the Treatment of Concessions, which has cost taxpayers tens of millions of euros paid in the form of waste disposal fees from the municipalities of Tirana district in Sharre.
The decision of the GJKKO contains a total of 15 security measures and includes central and local officials headed by the former Minister of the Environment Lefter Koka, the former socialist deputy Alqi Blako, the director of the municipality of Tirana Taulant Tusha, and other accused members of the commissions who approved the concession contract.
Mërtiri and Zoto were convicted earlier for similar charges related to the concession contracts for the construction of the incinerator in Elbasan and Fier. They are currently on the run and are suspected to be hiding abroad. The two businessmen could not be reached for comment.
Fictitious invoice
The concession contracts for the construction of incinerators in Elbasan, Fier and Tirana, with a cost up to their seizure of 150 million euros, constitute the biggest corruption scandal in the history of modern Albania.
According to the Prosecutor's Office, from the acts administered in relation to the income declared to the tax authorities, the concession company "Integrated Energy BV SPV", until the moment of the imposition of the "preventive sequestration" insurance measure, turns out to have benefited about 6 billion ALL (60 million euros) income from the municipalities of the Tirana district through the waste deposit fee for incineration at the Sharra landfill.
IEBV has also declared about 2.88 billion lek (28 million euros) purchase from the subsidiary company "Integrated Technology Services", ITS, with administrator Klodian Zoto, who according to SPAK is also a shadow shareholder of the concessionaire company
Meanwhile, from the analysis of the bank accounts that the concessionaire company has at Credins bank and Raiffeisen bank, in local currency, but also in foreign currency, according to SPAK, it results that ITS has benefited from the company "Integrated Energy BV SPV" sh.pk, the monetary value of 3 billion lek and 6.7 million euros, much more than the invoices issued.
According to the Prosecutor's Office, the signature of the Italian administrator of IEBV, Giusseppe Ciaffaglione, in the contract of December 2017 with the company "Integrated Technology Services" is forged.
"Based on the act of graphic expertise of the signature, no. 10200, dated 27.10.2023, it was found that in the document subject to examination 'Contract', dated 07.12.2017, between the company "Integrated Energy BV SPV" sh.pk, with administrator Italian citizen Giusseppe Ciaffaglione and the company "Integrated Technology Services" sh. pk, with administrator citizen Klodian Zoto, the signature, where the seal mark is found, should not be the signature of citizen Giusseppe Ciaffaglione", says SPAK.
Ciaffaglione stated that he was employed until 2017 by the Italian company "Energy Recuperator SPA", which was contracted for the construction of the Elbasan Incinerator. Then, in August 2017, his contract with the Italian club ended and he signed a contract with the Albanian club of the citizen Klodian Zoto, who was introduced to him by Mirel Mërtiri. Also, he declares that all obligations for payments for rent, housing and his needs have been covered by the citizen Klodian Zoto, through his companies "ITS" and "Zoto Consulting".
"He declares that despite appearing as an administrator at the Tirana Incinerator, his main commitment, physical and material, was at the Fier Incinerator", SPAK emphasizes, citing the Italian citizen.
Ciaffaglione i ka thënë prokurorëve se pavarësisht se ai ishte administratori i kompanisë koncesionare, me anën ekonomike janë marrë punonjëse të lidhura me shtetasin Klodian Zoto, të cilat i jepnin “formularë të paplotësuar, kuponë për të kryer transferta në bankë etj, dhe që ai i nënshkruante pa ditur as shumën e transfertave dhe as përfituesit e këtyre transfertave.”
“Ai deklaron se gjatë punës së tij si administrator i shoqërisë koncesionare ‘Integrated Energy BV SPV' sh.p.k, ka vënë re dokumentacione që mbanin nënshkrimin e tij, por që në të vërtetë nuk ishin nënshkruar nga ai. Për këto konstatime ka pyetur shtetasin Klodian Zoto, i cili i ka thënë që nuk ka arsye pse të shqetësohet”.
Përveç miliardave të përfituara nëpërmjet kontratës që dyshohet si e falsifikuar, ITS ka përfituar gjithashtu të ardhura në sajë të faturave nga subjekte fiktive, të cilat janë paraqitur si punime të kryera për shoqërinë “Integrated Energy BV SPV”, me një vlerë totale prej 409 milionë lekësh.
“Nga aktet e administruara rezulton se këto vlera monetare të siguruar në sajë të mashtrimit nëpërmjet paraqitjes së faturave të falsifikuara, janë tërhequr një pjesë e madhe e vlerave monetare në cash dhe janë transferuar në mënyra të ndryshme jashtë vendit nga shtetasit Klodian Zoto dhe Mirel Mërtiri”, shkruhet në vendimin e GJKKO-së për masën e sigurisë.
Po ashtu, rezulton se shtetasi Mirel Mërtiri dhe Klodian Zoto kanë përgatitur preventiva të falsifikuar duke fryrë treguesit në kostot e ndërtimit, të përfshira dhe në studimin e fizibilitetit për fitimin e kontratës koncesionare të inceneratorit
“Në rrethanat e mësipërme, rezulton se shtetasit Klodian Zoto dhe Mirel Mërtiri, aksonerët “de facto” të shoqërisë koncesionare ‘Integrated Energy BV SPV' sh.p.k, në bashkëpunim me njëri-tjetrin, dyshohet se kanë kryer veprat penale ‘mashtrim' me pasoja të rënda, në bashkëpunim, dhe “Pastrimi i produkteve të veprës penale apo i veprimtarisë kriminale”, e kryer në bashkëpunim.”
Pronarë “de facto”
Ministria e Mjedisit e ka lidhur kontratën për ndërtimin e Inceneratorit të Tiranës më 31 gusht 2017 me kompaninë “Integrated Energy BV SPV”, e cila u regjistrua në Holandë nga bashkimi i tre shoqërive: “Integrated Technology Services” me përfaqësues Klodian Zoto, “Energy Recuperator SPA”, me përfaqësues Ernesto Granelli, dhe “Paul Wurth Spa” me përfaqësues Thomas Ealter Hansmman.
Kompania e Granellit është blerë nga “Paul Wurth SPA”, ndërsa kjo e fundit ia ka shitur aksionet e saj tek Integrated Energy BV, kompanisë shqiptare ITS. Sipas deklarimit të shtetasit Thomas Hansmann, administratori i shoqërisë “Paul Wurth Italia SPA”, kompania e tij i ka shitur aksionet te shoqëria holandeze “Integrated Energy BV” në dhjetor 2017, pasi projekti i ndërtimit të inceneratorit në Tiranë hasi në probleme.
"He declares that the Tirana incinerator was never built as there were problems with the construction permit from the Albanian authorities, as well as problems with securing financing, and after a year or two his company decided to exit from being shareholders by sold all shares to the other founding Albanian shareholder of the Dutch company 'Integrated Energy BV'," the Prosecutor's Office points out.
From the data extracted from the computer seized from the citizen Klodian Zoto, an unsigned agreement was found, where the content describes that the Italian companies "Energy Recuperator SPA" and "Paul Wurth Italia SPA" were obliged to sell the shares that they owned by the Dutch company "Integrated Energy BV", to the Albanian company of the citizen Klodian Zoto "Integrated Technology Services" sh.pk, at the moment it would be requested by this company. According to the Prosecutor's Office, this agreement belongs to the time before the company "Integrated Energy BV" was registered in the Netherlands.
"In these circumstances, it turns out that the Italian companies were included as shareholders of the Dutch company "Integrated Energy BV" only to meet the technical criteria, but "de facto" as the real beneficiary of the concession was the company of the citizen Klodian Zoto, "Integrated Technology Services" sh.pk'", writes the Prosecutor's Office.
According to the Prosecution, the data obtained from the seizure of Klodian Zoto's state computer also show that he and Mirel Mërtiri have used other persons and companies to hide their tracks and have instructed and made decisions regarding the Dutch company, including the opening of accounts banking in the name of citizen Mirel Mërtiri in Switzerland and Bulgaria.
According to the facts collected by SPAK from the electronic communications between the two businessmen, it turns out that they are behind a group of companies, including "Albtek" sh.pk, "Integrated Energy BV SPV" sh.pk, "Integrated Technology Waste Treatment Fier" sh.pk. pk, "Integrated Technology Services" sh.pk, "Artemis Farm" sh.pk, "CGC" sh.pk, "Miklo Construction" sh.pk, "Consulting SE Partners" sh.pk and "Zoto Consulting" sh.pk
Communications and disagreements between the partners suggest that Mërtiri had the operational role in the management of the group, while Zoto that of the financial manager./ BIRN
