On June 26, 2025, the Albanian government created and registered at the National Business Center the state-owned company "Albanian State Development & Real Estate", which will be a partner with the American company "Atlantic Incubation Partners" of Jared Kushner, Donald Trump's son-in-law, for the construction of the luxury resort on the island of Sazan.
According to Decision No. 23, dated December 30, 2024, the Albanian state enters into the partnership as the owner of the 45-hectare area where the resort will be built, as well as the financier of the basic infrastructure for water and energy supply, waste processing and cleaning the area from war debris. Despite the fact that the donation of Sazan is a clear political and personal act of Prime Minister Edi Rama to strengthen relations with the Trump family, the involvement of the state as a partner in this project is used as an excuse to say that “there will be a share in the profit”.
But according to the law on commercial companies, when the state contributes assets and infrastructure, it must have no less than 33% of the shares, as was done in the case of the "Durrës Marina" project with Mohamed Alabbar's company.
In the case of Sazan, Rama has introduced a diabolical clause, which allows the government to leave the partnership with a simple administrative decision, transferring 100% of the shares to the Trumps, without approval in Parliament and without any legal obstacle.
In point 11/e, sub-points 4 and 5 of the decision of the Strategic Investment Committee, it is stated:
"If the government deems it reasonable, it may implement the option to exit the partnership under predetermined or easily assessable conditions, after a period of time from entering the project, respecting applicable restrictions on the transfer of shares or the involvement of third parties."
This practically means that Rama, in the role of "Sultan", can strip the state of ownership of Sazan only with a decision of the Investment Corporation, which represents the state shares. And he can do this without a parliamentary decision, without public consultation and without any transparency.
The option is written in such a way that it does not specify whether the transfer of shares will be through sale, or simply by deed of donation. This paves the way for the Sazani resort to pass completely into the hands of the Trump company, with a common justification that Rama often uses: “national interest.”
A few days ago, "Pamfleti" published another scandal related to this project: The Albanian government will spend 142 million euros from the state budget to build a yacht port, water and energy lines, clear the area of ammunition, build waste treatment plants, and conduct environmental and legal expertise.
In short, Edi Rama is using Albanian money and wealth to build a tourist empire for the Trumps in Sazan and then he can hand the entire project over to the table, without anyone asking./ Pamphlet
